Terms of Service

1. Definitions

"Dataset" means any data product purchased through the Service, including the Full Dataset, Premium Collection, or Build Your Own selections.

"Q-Bank Group" means Q-Bank Group LLC, a company organized under the laws of New York.

"License Period" means twelve (12) months from the date of purchase unless otherwise specified in a separate written agreement.

2. Nature of the Dataset

The Dataset contains curated business contact information and institutional intelligence derived from documented professional correspondence, publicly available sources, and proprietary research. Records represent professional and business contacts at private equity firms, family offices, asset managers, and related institutional investors.

3. License Grant

Upon payment in full, Q-Bank Group grants you a non-exclusive, non-transferable, non-sublicensable license to use the purchased Dataset for your internal business purposes during the License Period.

Your license does not confer exclusive rights to any records. The same records may be licensed to other buyers. Purchased subsets, including Build Your Own selections, are subject to the same license restrictions as the full Dataset.

4. Permitted Use

You may use the Dataset for internal business operations including, but not limited to, deal sourcing, capital introduction, market research, portfolio management, and outreach campaigns conducted by your organization.

5. Prohibited Use

You shall not:

• (a) Share, resell, sublicense, or redistribute the Dataset or any portion thereof to any third party.
• (b) Incorporate the Dataset into any commercial product, database, or service offered to third parties.
• (c) Use the Dataset for any campaign, client, or commercial purpose other than your own internal operations.
• (d) Attempt to reverse-engineer, de-anonymize, or re-identify any aggregated or anonymized data within the Dataset.
• (e) Share login credentials or permit simultaneous multi-user access under a single account.
• (f) Use the Dataset in any manner that violates applicable law.

Dataset access is revocable by Q-Bank Group upon termination of these Terms. Upon termination, you shall cease use of the Dataset and delete all copies, except as reasonably required to service existing relationships already established through use of the Dataset during the License Period.

6. Downloaded Data

Any data exported or downloaded from the Service, including CSV exports, remains governed by these Terms after download. The license restrictions in Sections 3, 4, and 5 apply to downloaded copies of the Dataset.

7. Data Accuracy and Disclaimer

The Dataset is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or completeness. Q-Bank Group makes reasonable efforts to verify data accuracy through documented professional correspondence and institutional research sources, but does not guarantee that all information is current, complete, or error-free.

Contact information, firm details, and other data points are subject to change without notice. Q-Bank Group is not responsible for decisions made in reliance on the Dataset.

8. Payment Terms

All purchases are processed through Stripe. Prices are listed in U.S. dollars. Payment is due at the time of purchase.

All sales are final. Refunds are issued solely at the discretion of Q-Bank Group. If you believe there is a material discrepancy between the product described and the product delivered, contact data@qbankgroup.com within fourteen (14) days of purchase.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Q-Bank Group immediately of any unauthorized use of your account. Q-Bank Group is not liable for any loss arising from unauthorized access to your account.

10. Intellectual Property

The Dataset, including its structure, organization, selection criteria, and curation methodology, is the proprietary intellectual property of Q-Bank Group. Your license to use the Dataset does not transfer ownership of any intellectual property rights.

11. Limitation of Liability

To the maximum extent permitted by law, Q-Bank Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service or the Dataset, regardless of the cause of action or theory of liability. Q-Bank Group's total liability shall not exceed the amount you paid for the Dataset.

12. Confidentiality

You shall maintain the confidentiality of the Dataset and any non-public information provided by Q-Bank Group, including pricing, commercial terms, and data methodology.

13. Termination

Q-Bank Group may suspend or terminate your access to the Service at any time for violation of these Terms. Sections 5, 6, 7, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the courts located in the State of New York.

15. Changes to These Terms

Q-Bank Group reserves the right to update these Terms at any time. Changes take effect when posted to the Service. Continued use of the Service after changes are posted constitutes acceptance.
